IQM Quantum Computers Plc is a Finnish public limited company. The obligations and responsibilities of its management bodies are governed by Finnish law. The company is domiciled in Espoo, Finland.
The company’s shareholders exercise the highest decision-making power at the General Meeting of the shareholders. The Board of Directors, including its committees, and the Chief Executive Officer (CEO) are responsible for the company’s administration. IQM is committed to good corporate governance by complying with laws and regulations in all its operations and by implementing recommendations for good governance.
The company’s decision-making and administration comply with the Finnish Companies Act, other legal provisions concerning listed companies, the company’s Articles of Association, and the rules and guidelines issued by Nasdaq Helsinki Ltd. The company complies with the Finnish Corporate Governance Code, approved by the Securities Market Association, in its governance. The Corporate Governance Code is available at www.cgfinland.fi.
As a result of the listing of IQM’s American Depositary Shares on the Nasdaq Stock Market LLC (NASDAQ) and the company’s registration under the US Securities Exchange Act of 1934, IQM follows the applicable U.S. federal securities laws and regulations, including the Sarbanes-Oxley Act of 2002 as well as the rules of NASDAQ.
Hallinnointiperiaatteet
IQM Quantum Computers Oyj on suomalainen julkinen osakeyhtiö, jonka johtoelinten vastuut ja velvollisuudet määräytyvät Suomen lakien mukaisesti. Yhtiön kotipaikka on Espoo.
Yhtiön ylintä päätösvaltaa käyttävät yhtiön osakkeenomistajat yhtiökokouksessa. Yhtiön hallinnosta vastaavat hallitus valiokuntineen ja IQM:n toimitusjohtaja. IQM on sitoutunut hyvään hallintotapaan noudattamalla kaikessa toiminnassaan lakeja ja säädöksiä sekä toteuttamalla suosituksia hyvästä hallintotavasta.
Yhtiön päätöksenteossa ja hallinnossa noudatetaan Suomen osakeyhtiölakia, julkisesti noteerattuja yhtiöitä koskevia säännöksiä, yhtiön yhtiöjärjestystä ja Nasdaq Helsinki Oy:n sääntöjä ja ohjeita. IQM:n ADS-osaketalletustodistukset on listattu Nasdaq Stock Market LLC -markkinapaikalla (NASDAQ) ja IQM on rekisteröitynyt Yhdysvaltain vuoden 1934 arvopaperimarkkinoita koskevan lain (Securities Exchange Act of 1934) mukaisesti, jonka vuoksi IQM noudattaa myös Yhdysvaltojen liittovaltion arvopaperimarkkinalainsäädäntöä, mukaan lukien vuoden 2002 Sarbanes-Oxley -lakia sekä NASDAQin sääntöjä.
